Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Xaiotech Pty Ltd ABN [ABN] trading as Schediq (“Schediq,” “we,” “us,” or “our”), governing your access to and use of the Schediq platform, including all related websites, applications, APIs, and services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Schediq is a cloud-based appointment scheduling and booking management platform designed for service-based businesses. The Service includes:

  • Online appointment scheduling and calendar management
  • Public booking pages for client self-service
  • Customer relationship management
  • Staff and resource scheduling
  • Payment processing integration via third-party providers
  • Automated notifications and workflow management
  • Analytics and reporting
  • API access and third-party integrations

We reserve the right to modify, update, or discontinue any feature of the Service with reasonable notice. Material changes will be communicated via email or in-app notification at least 30 days in advance.

3. Account Registration and Security

3.1 Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement. The Service is intended for business use and is not designed for personal consumer scheduling.

3.2 Account creation

When creating an account, you must provide accurate, complete, and current information. Each account must be associated with a single legal entity or individual. You may not create multiple accounts for the same entity without our prior written approval.

3.3 Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at security@schediq.io if you become aware of any unauthorised access or security breach.

3.4 Account access

You may grant access to your account to authorised team members through our staff management feature. You remain responsible for all actions taken by users you authorise to access your account.

4. Acceptable Use

You agree not to use the Service to:

  1. Violate any applicable local, state, national, or international law or regulation
  2. Infringe upon the intellectual property rights of any third party
  3. Transmit any malicious code, viruses, or harmful content
  4. Interfere with or disrupt the Service or servers connected to the Service
  5. Attempt to gain unauthorised access to any part of the Service
  6. Harvest or collect personal information of other users without consent
  7. Use the Service for any unlawful, fraudulent, or deceptive purpose
  8. Resell, sublicense, or redistribute access to the Service without our approval
  9. Send unsolicited communications (spam) through the Service
  10. Use automated means to access the Service except through our published APIs

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.

5. Subscriptions, Payments, and Billing

5.1 Free and paid plans

Schediq offers both free and paid subscription plans. Features available to you depend on your chosen plan. Plan details and pricing are available on our pricing page and may be updated from time to time with at least 30 days notice.

5.2 Payment processing

Payments are processed through Stripe, Inc. By subscribing to a paid plan, you agree to Stripe’s terms of service. We do not store your complete payment card details on our servers.

5.3 Recurring billing

Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date. You will be charged the applicable subscription fee at the beginning of each billing cycle.

5.4 Cancellation

You may cancel your subscription at any time through the Settings > Billing page. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of your paid period.

5.5 Refunds

Refunds are handled on a case-by-case basis at our discretion. If you believe you have been billed in error, contact us within 30 days of the charge at billing@schediq.io.

5.6 Client payment collection (Stripe Connect)

Schediq enables you to collect payments from your customers through Stripe Connect. When you connect your Stripe account to Schediq:

  1. You enter into a direct agreement with Stripe, Inc. and are bound by the Stripe Connected Account Agreement.
  2. Payments collected from your customers are deposited directly into your linked bank account by Stripe. Schediq does not hold, escrow, or intermediate these funds.
  3. You are solely responsible for the pricing, refunds, chargebacks, and disputes arising from payments collected through your connected Stripe account.
  4. Schediq is not a party to the transaction between you and your customer. We act only as a technology platform facilitating the scheduling and payment collection workflow.

5.7 Tax and regulatory compliance

You are solely responsible for all tax obligations arising from your use of the Service to collect payments, including but not limited to:

  • Collecting and remitting sales tax, Goods and Services Tax (GST), Value Added Tax (VAT), or any other applicable consumption or turnover taxes in your jurisdiction
  • Issuing tax-compliant invoices and receipts to your customers
  • Registering for and maintaining any required tax identification numbers
  • Complying with all local, state, national, and international tax laws and regulations applicable to your business
  • Maintaining proper financial records as required by applicable law

Schediq does not provide tax advice, tax calculation, tax filing, or tax compliance services. The amounts displayed in the Service are gross amounts and do not include, calculate, or account for any applicable taxes. You should consult a qualified tax professional or accountant regarding your specific tax obligations.

Schediq shall not be held liable for any penalties, interest, or other consequences arising from your failure to comply with applicable tax laws.

5.8 Multi-currency and international use

Schediq supports international use across multiple currencies through Stripe’s global payment infrastructure. Currency conversion, exchange rates, and associated fees are determined by Stripe in accordance with their pricing and policies. Schediq has no control over exchange rates, conversion fees, or international transaction fees imposed by Stripe or your financial institution.

6. Your Data and Content

6.1 Ownership

You retain ownership of all data and content you upload, create, or transmit through the Service (“Your Content”). This includes customer information, booking records, service descriptions, and business data.

6.2 License grant

You grant Schediq a limited, non-exclusive, worldwide license to process, store, and display Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or close your account.

6.3 Data portability

You may export Your Content at any time through the Service’s export features or by contacting our support team. Upon account closure, we will provide a reasonable period (minimum 30 days) for you to export your data.

6.4 Data protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the Australian Privacy Act 1988 and, where applicable, the EU General Data Protection Regulation (GDPR).

7. Intellectual Property

The Service, including its design, code, branding, documentation, and all related intellectual property, is and remains the exclusive property of Xaiotech Pty Ltd. These Terms do not grant you any ownership rights in the Service.

“Schediq,” the Schediq logo, and related marks are trademarks of Xaiotech Pty Ltd. You may not use our trademarks without prior written permission, except as needed to refer to our Service in factual contexts.

8. Third-Party Services

The Service integrates with third-party services including, but not limited to, Stripe (payments), Google Calendar, and various communication platforms. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Service Availability and Support

9.1 Uptime

We strive to maintain high availability of the Service but do not guarantee 100% uptime. Scheduled maintenance windows will be communicated in advance where possible. We are not liable for temporary interruptions due to maintenance, updates, or circumstances beyond our control.

9.2 Support

Support is provided through our in-app help center and email. Response times and support channels vary by plan tier. We aim to respond to all support requests within 2 business days.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XAIOTECH PTY LTD, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  1. Your access to, use of, or inability to use the Service
  2. Any conduct or content of any third party on the Service
  3. Any content obtained from the Service
  4. Unauthorised access, use, or alteration of your transmissions or content

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to Schediq during the twelve (12) months immediately preceding the event giving rise to the claim, or AUD $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Xaiotech Pty Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

13.1 Termination by you

You may close your account at any time by contacting support. Upon closure, your right to use the Service ceases immediately, subject to the data portability provisions in Section 6.3.

13.2 Termination by us

We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice where possible, except in cases of serious violations or legal requirements.

13.3 Effect of termination

Upon termination, all licenses granted to you under these Terms will immediately cease. Sections 6, 7, 10, 11, 12, and 14 survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Western Australia, Australia, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Western Australia, and you consent to the exclusive jurisdiction of those courts.

Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally by contacting each other directly. If a dispute is not resolved within 30 days of notice, either party may proceed with formal legal action.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Service and close your account before the effective date.

16. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Schediq regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
  • Force majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control.
